We grant you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes during the subscription term.

You retain all ownership rights to your User Data. By using our Services, you grant us a limited license to host, store, process, and display your User Data solely to provide the Services to you. We will not access, use, or share your User Data except as necessary to provide the Services or as required by law.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding our Services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

8. Data Protection and Privacy

We are committed to protecting your data and privacy. Our collection, use, and handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • DIGITALSMAC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless DigitalSMAC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Data.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting our support team. For subscription services, termination will be effective at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that we determine, in our sole discretion, may harm DigitalSMAC or other users.

12.3 Effect of Termination

Upon termination, your right to use the Services will cease immediately. You may request export of your User Data within 30 days of termination. After this period, we may delete your data in accordance with our data retention policies.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. For customers in the United States, disputes may also be subject to the laws of the State of Delaware.

Any disputes arising from these Terms or your use of the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the Indian Council of Arbitration (for India-based customers) or the American Arbitration Association (for US-based customers).

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and DigitalSMAC.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control.
